Welcome to Talific AI. These Terms and Conditions ("Terms") govern your access to and use of Talific AI's recruitment platform, including our website, services, and AI-powered features (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree to these Terms, you may not access or use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.

2. User Accounts and Responsibilities

2.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

2.3 User Types

The Platform supports two types of users:

• Employers: Organizations using the Platform to post jobs, manage applications, and evaluate candidates.
• Candidates: Individuals using the Platform to apply for jobs and manage their application profiles.

3. AI-Powered Features and Limitations

3.1 AI Analysis and Ranking

Talific AI uses artificial intelligence to analyze resumes, rank candidates, and provide insights to employers. These AI-powered features are designed to assist, not replace, human decision-making in the recruitment process.

3.2 Accuracy and Limitations

While we strive for accuracy, AI-generated insights, rankings, and analyses are not guaranteed to be error-free. Users acknowledge that:

• AI rankings are probabilistic assessments based on available data and predefined criteria.
• Final hiring decisions should involve human review and judgment.
• AI outputs may not capture all relevant qualifications or nuances of a candidate's profile.
• We continuously improve our AI models, which may result in changes to how candidates are analyzed and ranked.

3.3 Responsible AI Use

Employers agree to use AI-generated insights responsibly and in compliance with applicable employment laws, including anti-discrimination laws. Employers are solely responsible for their hiring decisions and must not rely exclusively on AI-generated rankings.

4. Intellectual Property Rights

4.1 Platform Ownership

The Platform, including all software, designs, text, graphics, logos, and other content (excluding user-submitted content), is owned by Talific AI and is protected by copyright, trademark, and other intellectual property laws.

4.2 User Content

You retain ownership of any content you submit to the Platform, including resumes, job postings, and application materials. By submitting content, you grant Talific AI a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such content for the purpose of providing and improving the Platform.

4.3 AI Training

We may use aggregated, anonymized data derived from user content to train and improve our AI models. This does not include personally identifiable information without your explicit consent.

5. Data Processing and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

Employers who process candidate data through the Platform act as data controllers and are responsible for complying with applicable data protection laws, including obtaining necessary consents from candidates.

6. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations in connection with your use of the Platform.
• Submit false, misleading, or fraudulent information, including fake resumes or job postings.
• Use the Platform to discriminate against candidates based on protected characteristics.
• Attempt to gain unauthorized access to the Platform or other users' accounts.
• Reverse engineer, decompile, or attempt to extract the source code of our AI models or Platform software.
• Use automated tools (bots, scrapers) to access the Platform without our written permission.
• Interfere with or disrupt the Platform's functionality or servers.
• Use the Platform for any illegal or unauthorized purpose, including spamming or phishing.

7. Liability and Warranties

7.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALIFIC AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless Talific AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.

8. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us or using the account deletion feature in your settings.

Upon termination, your right to use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including provisions related to intellectual property, disclaimers, indemnification, and limitations of liability.

9. Dispute Resolution

9.1 Informal Resolution

Before filing a formal claim, you agree to contact us and attempt to resolve any disputes informally by emailing us at legal@talific.ai.

9.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Talific AI is headquartered.

9.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or representative action.

10. General Provisions

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Talific AI is incorporated, without regard to its conflict of law provisions.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Talific AI regarding your use of the Platform and supersede any prior agreements.
